1. Acceptance of Terms

These Terms of Use (these "Terms") constitute a binding agreement between you and MesaLuxe Property Services, LLC, an Arizona limited liability company doing business as MesaLuxe Cleaning Co. ("MesaLuxe," "Company," "we," "us," or "our"), governing your access to and use of mesaluxe.com (the "Site"), together with any booking tools, quote engines, client portals, rewards features, and related functionality made available through the Site (collectively, the "Services").

By accessing the Site, creating an account, submitting a booking request, or otherwise using the Services, you agree to be bound by these Terms. If you do not agree, you must discontinue use of the Site and the Services. Your relationship with MesaLuxe with respect to any cleaning service you actually purchase is further governed by the specific booking confirmation, service order, or invoice issued to you at the time of scheduling, which is incorporated into these Terms by reference. In the event of a direct conflict between these Terms and a signed service order, the service order controls solely as to the subject matter it expressly addresses.

2. Eligibility

You must be at least eighteen (18) years of age and possess the legal capacity to enter into a binding contract to create an account, submit a booking, or otherwise use the Services. By using the Services, you represent that you meet these requirements and that any information you provide to us is accurate and current.

3. Accounts

Certain features of the Site, including saved payment methods, booking history, and the Rewards Program described in Section 4, require account registration. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account, whether or not authorized by you. You agree to notify us promptly at legal@mesaluxe.com if you suspect unauthorized access to your account. We reserve the right to suspend or terminate any account at our discretion, including where we reasonably believe these Terms have been violated.

4. Rewards Program

MesaLuxe may offer a client loyalty or rewards program through the Site, under which clients may accrue and redeem points, credits, or similar benefits ("Rewards") in connection with booked and completed services. Rewards have no cash value, are non-transferable, are not redeemable for cash, and may be modified, restricted, or discontinued by MesaLuxe at any time and without prior notice. Any specific accrual rates, redemption thresholds, or expiration terms in effect from time to time will be posted on the Site or communicated to you directly and are incorporated into these Terms.

5. Booking and Confirmation

Requests submitted through the Site's quote or booking tools are requests only and do not constitute a confirmed appointment until acknowledged by MesaLuxe. We reserve the right to decline, reschedule, or modify any booking prior to confirmation, including where the property's condition, scope, or location falls outside what our standard offerings are designed to accommodate.

6. Payment Terms

A valid credit or debit card must be maintained on file with your account at all times as a condition of scheduled service. We accept cash and check as alternative payment methods for a given cleaning, provided you notify our office in advance of the applicable appointment. Absent such notice, or where an alternative payment fails or is declined, the card on file will be charged the full amount due, including any applicable fees under Section 7.

7. Cancellations, Rescheduling, and Lockouts

You may cancel or reschedule a scheduled cleaning without charge provided you notify us at least twenty-four (24) hours in advance of the scheduled appointment.

For cancellations or rescheduling requests made less than twenty-four (24) hours before the scheduled appointment, MesaLuxe reserves the right, in its sole discretion, to charge a cancellation fee of thirty-five dollars ($35.00) to the payment method on file.

If our cleaning technicians are unable to gain access to the property at the scheduled appointment time for any reason attributable to you or the property (a "Lockout"), you will be charged the full price of the scheduled cleaning.

8. Satisfaction Guarantee

If you are dissatisfied with any aspect of a completed cleaning, you must contact us within twenty-four (24) hours of the service date. We will arrange to return to the property to inspect and correct the specific areas identified. This guarantee does not entitle you to a refund and does not apply to conditions arising after our technicians have departed the property, including but not limited to re-soiling by household members, pets, or third parties.

9. Home Access; Pets

You are responsible for providing our technicians with reasonable access to the property at the scheduled appointment time, whether by key, access code, or your presence at the property.

Pets are welcome in the home during service, provided they are secured (whether by containment, leash, or another room) or are otherwise reliably kept clear of our technicians while work is performed. As between you and MesaLuxe, you are responsible for any injury to a technician, or damage to the property, caused by an unsecured or aggressive pet. Nothing in this Section is intended to affect, and this Section does not affect, any rights or obligations arising under workers' compensation law with respect to MesaLuxe's own employees, which remain governed exclusively by applicable Arizona law and MesaLuxe's workers' compensation coverage.

10. Loss, Breakage, and Damage

MesaLuxe technicians are trained to handle items in your home with care; nonetheless, accidents can occur. You must report any suspected breakage, loss, or damage to MesaLuxe within twenty-four (24) hours of the applicable service. For claims valued at one hundred dollars ($100.00) or less, MesaLuxe will pay the claim directly upon reasonable substantiation (such as a receipt or comparable replacement quote). For claims exceeding one hundred dollars ($100.00), the claim will be referred to MesaLuxe's insurance carrier for handling in accordance with the applicable policy. MesaLuxe reserves the right to decline responsibility for items of unusual, sentimental, or antique value that were not disclosed to MesaLuxe in advance of service.

11. SMS and Electronic Communications Consent

By providing your phone number and opting in through the Site, your account settings, or verbally to one of our representatives, you consent to receive text messages and email communications from MesaLuxe, including appointment reminders, service-related notices, and promotional or marketing messages. Message frequency varies. Message and data rates may apply. You may opt out of promotional text messages at any time by replying "STOP," and may resume receipt by replying "START." Reply "HELP" to any message for assistance. We do not sell or trade your phone number or messaging consent to third parties for their own marketing purposes. This consent is not a condition of purchasing any service from MesaLuxe.

12. Intellectual Property

All content on the Site, including text, graphics, logos, images, page layout, and underlying software, is owned by MesaLuxe or its licensors and is protected under United States copyright, trademark, and other applicable law. Subject to your compliance with these Terms, MesaLuxe grants you a limited, non-exclusive, non-transferable, revocable license to access and view the Site for your personal, non-commercial use. You may not reproduce, distribute, modify, publicly display, or create derivative works from any Site content, or use any such content for a commercial purpose, without MesaLuxe's prior written consent.

13. User Conduct

In connection with your use of the Site, you agree not to: (a) violate any applicable law or regulation; (b) interfere with or disrupt the operation of the Site or its underlying infrastructure; (c) use any automated means, including bots or scrapers, to access or extract data from the Site without our prior written consent; (d) attempt to gain unauthorized access to any account, system, or network connected to the Site; or (e) introduce any virus, malware, or other harmful code to the Site.

14. User Contributions

If MesaLuxe enables you to submit reviews, testimonials, or similar feedback through the Site, you grant MesaLuxe a non-exclusive, royalty-free, worldwide license to reproduce and display that submission in connection with operating and promoting MesaLuxe's business. You represent that any submission you provide is your own, is accurate, and does not violate the rights of any third party. MesaLuxe may remove any submission at its discretion and has no obligation to publish, retain, or respond to any submission.

15. Third-Party Links

The Site may contain links to third-party websites or services not controlled by MesaLuxe. MesaLuxe is not responsible for the content, accuracy, or practices of any linked third party, and inclusion of a link does not constitute an endorsement. Your use of any linked third-party site is at your own risk and subject to that site's own terms.

16. Disclaimer of Warranties

THE SITE AND ITS CONTENT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTY OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. MESALUXE DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE. NOTHING IN THIS SECTION LIMITS ANY WARRANTY OR GUARANTEE EXPRESSLY EXTENDED TO COMPLETED CLEANING SERVICES UNDER SECTION 8.

17. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, MESALUXE'S TOTAL LIABILITY TO YOU ARISING OUT OF OR RELATING TO THESE TERMS, THE SITE, OR ANY SERVICE PROVIDED BY MESALUXE, WHETHER IN CONTRACT, TORT, OR OTHERWISE, WILL NOT EXCEED THE TOTAL AMOUNT YOU PAID TO MESALUXE FOR THE SERVICE GIVING RISE TO THE CLAIM DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY. IN NO EVENT WILL MESALUXE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. NOTHING IN THIS SECTION LIMITS ANY LIABILITY THAT CANNOT BE LIMITED UNDER APPLICABLE ARIZONA LAW, INCLUDING LIABILITY FOR GROSS NEGLIGENCE, WILLFUL MISCONDUCT, OR DEATH OR PERSONAL INJURY CAUSED BY MESALUXE'S NEGLIGENCE.

18. Indemnification

You agree to indemnify and hold harmless MesaLuxe, its owner, employees, and contractors from any third-party claim, loss, or expense, including reasonable attorneys' fees, arising out of your breach of these Terms, your misuse of the Site, or your violation of any applicable law.

19. Governing Law; Dispute Resolution

These Terms are governed by the laws of the State of Arizona, without regard to its conflict-of-laws principles.

Agreement to Arbitrate. Except as provided below, you and MesaLuxe agree that any dispute, claim, or controversy arising out of or relating to these Terms, the Site, or any service provided by MesaLuxe will be resolved exclusively through final and binding arbitration administered in accordance with the Consumer Arbitration Rules of the American Arbitration Association, with the arbitration seated in Pima County, Arizona.

Class Action Waiver. Any arbitration or proceeding under these Terms will be conducted on an individual basis only. Neither party may bring a claim as a plaintiff or class member in any purported class, collective, or representative proceeding.

Small Claims Carve-Out. Either party may instead bring an individual claim in small claims court located in Pima County, Arizona, provided the claim qualifies for that court's jurisdiction.

Opt-Out. You may decline to be bound by this Section by sending written notice to legal@mesaluxe.com within thirty (30) days of first accepting these Terms, stating your name and a clear statement that you opt out of arbitration. If you validly opt out, any dispute will instead be brought exclusively in the state or federal courts located in Pima County, Arizona, and you consent to personal jurisdiction there.

20. Term; Termination

These Terms remain in effect for as long as you access or use the Site. MesaLuxe may suspend or terminate your access to the Site or the Services at any time, with or without cause. Sections 12, 16, 17, 18, and 19 survive any termination of these Terms.

21. Modifications

MesaLuxe may revise these Terms at any time by posting an updated version to the Site. Continued use of the Site after an update constitutes acceptance of the revised Terms. If you do not agree to a revision, your remedy is to discontinue use of the Site.

22. Miscellaneous

These Terms, together with any applicable service order or booking confirmation, constitute the entire agreement between you and MesaLuxe regarding the Site and the Services. If any provision of these Terms is held unenforceable, that provision will be limited or removed to the minimum extent necessary, and the remaining provisions will remain in full force. No failure by MesaLuxe to enforce a provision of these Terms constitutes a waiver of that provision.
